Terms of Service
These Terms of Service ("Terms") are an agreement between you and ADPERA L.L.C-FZ, the company behind the altoda brand, a company registered in Meydan Free Zone, Dubai, United Arab Emirates, licence number 2311088.01, with its registered address at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E. ("altoda", "we", "us"). They apply when you create an account, buy a plan or use any part of the altoda service.
You must be at least 18 years old to use the Service. If you use altoda on behalf of a business, you confirm that you can bind that business to these Terms, and "you" means that business. Where these Terms mention "consumers", they mean people buying for purposes outside their trade, business or profession.
1. What altoda does
altoda designs, builds, hosts and maintains a website for your business on a subscription basis (the "Service"). You tell us about your business through our brief form (the "Brief"). We prepare your website (the "Site"), you review it, and once you approve it, it goes live. After launch you can update your text and images from your account panel. Design changes and new features are handled through requests, as described in section 5.
We build Sites using a combination of our team and software tools, including automated design and content tools. Every Site is reviewed by a person before it is delivered to you. If we use images created with software tools that show realistic people, places or events, we tell you, so that you can label them where the law requires.
2. Plans
We currently offer two plans, Starter and Business. What each plan includes (number of pages, design approach, revision rounds, support level, design requests and available add-ons) is described on our pricing page at altoda.co/pricing, which forms part of these Terms. If the pricing page and these Terms conflict, these Terms apply.
Some points that apply to every plan:
- Your domain name is not included. You buy and own your domain, and we connect it to your Site.
- Hosting, SSL certificates, technical maintenance, security updates and backups are included.
- On the Starter plan you provide the text for your Site. On the Business plan we write the text based on your Brief.
- Add-ons are available on the Business plan only.
- Every Site displays a small "Made with altoda" credit that links to altoda.co.
3. Delivery
We aim to deliver Starter Sites within 24 hours and Business Sites within 3 to 5 business days. These times start when we receive a complete Brief, meaning all the information, images and, for Starter, text that the Brief asks for. If we need something more from you, the time pauses until we receive it. If we expect to miss a delivery time, we will tell you and give you a new time.
Delivery times are targets, not guarantees. Missing one does not entitle you to a refund, except where the law says otherwise.
4. Review, revisions and launch
When your Site is ready we send you a preview. Your plan includes a number of revision rounds before launch (see the pricing page). A revision round is one set of change requests sent together.
You are responsible for reviewing everything on your Site before approving it, including text we have written for you, prices, opening hours, contact details, legal notices and any claims about your business. We are not responsible for errors in content that you approved or provided.
Your Site goes live when you approve it and your domain is connected.
5. After launch: content and design requests
You can change your text and images at any time from your account panel. We do not make content changes on your behalf.
A "Design Request" is a change to the layout, visual design or style of your live Site. Design Requests are handled as follows:
- Starter: Design Requests are not included and are charged per request at the price shown on the pricing page.
- Business: one Design Request per subscription year is included. It does not carry over to the next year. Additional requests are charged per request.
- New page designs, new modules and new features are priced according to their size or sold as add-ons.
- If a request costs more than the standard request price, we send you a quote first and do not start until you approve it.
6. Fees, taxes and renewal
Prices are shown on the pricing page and at checkout. Unless stated otherwise, prices exclude VAT, sales tax and similar taxes, which are added at checkout based on your location and tax status. If you are a consumer in a country where prices must be shown including tax, you will see the tax-inclusive total before you pay.
Your subscription renews automatically at the end of each billing period (monthly or annual) until you cancel, except where the law of your country requires your approval to renew (see below). We charge the payment method on file at the start of each period. Before you subscribe we show you the price, the billing period and how to cancel, and we ask for your separate consent to automatic renewal.
For annual plans we send you a reminder before each renewal with the renewal date, the amount and how to cancel. At least once a year we also remind every subscriber of their plan, what they pay and how to cancel.
Consumers in Turkey: monthly plans continue until you cancel. Annual plans do not renew automatically. Before your annual term ends we ask whether you want to renew, and we only renew if you confirm.
We may change our prices. We will tell you at least 30 days before a price change affects your subscription, and you can cancel before it takes effect.
Founding member pricing. If you subscribed at a founding member price, you keep that price as long as your subscription stays active without interruption. If you cancel or your subscription ends for non-payment, the founding member price is lost. Founding member pricing cannot be transferred.
Regional pricing. Some prices are available only to customers based in specific countries (for example, Turkey). To use a regional price, your billing address and payment method must be from that country. If they are not, we may move your subscription to the standard price from your next billing period after notifying you.
[IF PADDLE IS USED: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.]
7. Failed payments
If a payment fails, we will retry it and let you know. If the amount is still unpaid 7 days after the due date, we suspend your Site. If it is still unpaid 30 days after the due date, your subscription ends as described in section 9. We do not charge you for the period your Site was suspended, and once your subscription has ended we do not pursue the unpaid amount.
8. Cancellation, withdrawal and refunds
You can cancel at any time from your account panel, in the same simple way you signed up. Cancellation takes effect at the end of your current billing period, and your Site stays live until then.
Pausing instead of cancelling. Once in any 12 months you can pause a monthly plan for 1, 2 or 3 months from your account panel. While your plan is paused, your Site is offline and you are not charged; we keep your content and design, and a founding member price stays with you. Your plan restarts automatically at the end of the pause, or earlier if you choose. Annual plans cannot be paused.
- Monthly plans: there is no notice period and no refund for the current month.
- Annual plans: your plan ends at the end of the annual term. We do not refund the unused part of an annual term.
- There are no free trials and no money-back guarantee.
If you are a consumer in the European Union or the United Kingdom, you can also withdraw from the contract within 14 days using the "Withdraw from contract" function in your account panel or on our website. Our Cancellation and Refund Policy explains this and the other consumer rights you may have. These rules do not affect any rights you have as a consumer under the law of your country.
9. What happens when your subscription ends
When your subscription ends, your Site goes offline. For 30 days after that you can ask us for an export of your content (text, images and files you provided or that we wrote for you). After 30 days we may delete your Site and its content.
The Site's design, layout, code and our templates are not transferable. You keep your domain name.
10. Your content
You keep ownership of the content you provide, such as text, images, logos and trademarks ("Your Content"). You give us a worldwide, non-exclusive, royalty-free licence to host, copy, adapt, display and publish Your Content as needed to provide the Service.
You confirm that you have the rights to Your Content and that it does not break the law or infringe anyone's rights. Your Content must comply with our Acceptable Use Policy.
We may show your live Site, including its name and a screenshot, as an example of our work. If you do not want this, tell us at [email protected] and we will stop.
11. Our property
altoda owns the platform, software, code, templates, layouts, design system and all other materials we use to provide the Service, and any improvements to them. Text we write for you on the Business plan becomes Your Content once delivered. As long as your subscription is active, you may use your Site's design as part of the Service. Nothing in these Terms transfers ownership of our materials to you.
12. Acceptable use and content moderation
You must use the Service in line with our Acceptable Use Policy.
Anyone can tell us about content on a Site that they believe is illegal or breaks our Acceptable Use Policy, through our reporting page at altoda.co/report or by email to [email protected]. A person reviews every report, carefully and objectively. We use automated tools only to detect malware, spam and security threats.
If we remove or restrict your content or suspend your Site, we tell you what we did, why, and how to challenge the decision, unless the law or an authority prevents us. Where possible we contact you first and give you time to fix the problem. You can challenge a decision by replying to our notice or by emailing [email protected], and a person who was not involved in the first decision will review it. If the content is clearly illegal or causes serious harm, we may act immediately.
13. Third-party services
The Service may connect to third-party tools such as email platforms, CRMs or booking tools. You need your own account with those providers, and their terms apply. We are not responsible for third-party services.
14. Availability and support
We work to keep your Site available and secure, but we do not guarantee uninterrupted service. We may carry out maintenance, which we try to schedule at quiet times.
Support is provided by email during business hours, Monday to Friday, 9:00 to 18:00 Dubai time (GMT+4). Business plan customers are prioritised.
15. Data protection
Our Privacy Policy explains how we handle personal data about you. Where we process personal data about visitors to your Site on your behalf, for example contact form submissions, our Data Processing Addendum applies and forms part of these Terms.
Your Site may need its own privacy notice, cookie notice and other legal information depending on where your business and your visitors are. You are responsible for your Site's legal notices and for the claims your business makes, and we provide tools to help.
16. Warranties and liability
The Service is provided "as is" and "as available". To the extent the law allows, we do not give any warranties beyond those stated in these Terms.
To the extent the law allows:
- We are not liable for indirect or consequential losses, lost profits, lost revenue or lost data.
- Our total liability for all claims relating to the Service is limited to the fees you paid us in the 12 months before the claim.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or, where applicable, for death or personal injury caused by negligence, or your statutory rights as a consumer, including your rights if a digital service does not conform to the contract.
17. Indemnity
If you are a business, you will compensate us for losses and costs arising from claims by third parties that relate to Your Content or your breach of these Terms.
18. Suspension and termination by us
We may suspend or end your use of the Service if you seriously or repeatedly break these Terms, if payment remains outstanding as described in section 7, or if the law requires us to. We tell you the reasons, as described in section 12. Where the reason is not your breach, we will refund any prepaid fees for the period after termination.
19. Changes to these Terms
We may update these Terms. If a change is material, we will tell you at least 30 days before it takes effect. If you do not agree, you can cancel before the change takes effect.
20. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of the Dubai International Financial Centre (DIFC) have exclusive jurisdiction over any dispute relating to these Terms or the Service.
If you are a consumer, this does not take away the protection of mandatory consumer laws in your country of residence, and you may also bring a claim in the courts or consumer bodies of that country.
21. General
These Terms, together with the pricing page, the Privacy Policy, the Cookie Policy, the Cancellation and Refund Policy, the Acceptable Use Policy and the Data Processing Addendum, are the entire agreement between us. If any part is found unenforceable, the rest remains in force.
Neither of us is responsible for delays or failures caused by events outside our reasonable control, such as natural disasters, wide internet or power outages, or government action. We may transfer this agreement to a company that takes over our business, and we will tell you if we do; this does not reduce your rights.
These Terms are written in English; translations are for convenience and the English version applies if there is a conflict, unless the law of your country says otherwise.
